Welcome to vidAIx! These Terms of Service (“Terms”) govern your access to and use of the website, services, applications, content, and products provided by ZAMZILLA LLC, a Nevada limited liability company doing business as vidAIx (“Company,” “we,” “us,” or “our”).

By accessing or using our website located at vidaix.com (or any successor URL), interacting with our AI video generator/multi-model orchestrator services, or reading/subscribing to our blog and news publications (including content syndicated or distributed via Google News Initiative/Google News Center), you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services or access our content.

2. Eligibility & Account Registration

  • Age Requirements: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our platform or create an account.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security.

3. AI Platform, Video Generation & Multi-Model Orchestration

vidAIx operates as an AI video generator and multi-model orchestrator utilizing third-party foundation models, APIs, and proprietary pipelines.

  • Input Data & Prompts: You retain ownership of any original text prompts, audio, images, or assets you submit (“Inputs”). You grant us a worldwide, royalty-free license to host, process, and transmit your Inputs solely to provide and improve the service.
  • Generated Content (Outputs): Subject to third-party model provider terms, applicable copyright laws, and your full compliance with these Terms, you own or hold the rights to the media outputs generated through your paid account.
  • Acceptable Use & Content Restrictions: You agree NOT to generate, upload, or share content that:
    • Infringes on any intellectual property, trademark, copyright, or privacy/publicity rights of any party.
    • Generates unauthorized “deepfakes,” non-consensual imagery, or impersonations of real persons without lawful authorization.
    • Contains unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or hateful material.
    • Promotes illegal activities, violence, self-harm, or discrimination.
    • Violates the usage policies of underlying third-party AI model infrastructure partners.

4. Editorial, Blog & News Content (Google News Center Protection)

ZAMZILLA LLC dba vidAIx publishes independent articles, industry analysis, AI news, and commentary that may be indexed, syndicated, or distributed through search engine news feeds (e.g., Google News Center).

  • Information & Opinion Only: All articles, news updates, reports, opinions, or reviews published on the vidAIx platform are for informational, educational, and journalistic purposes only.
  • No Professional Advice: News articles and blog posts do not constitute professional legal, financial, technical, or investment advice.
  • Accuracy & Correction Policy: While we strive for accuracy, news and AI technology evolve rapidly. We make no guarantees regarding the completeness, accuracy, or timeliness of published news content. We reserve the right to modify, correct, or update published articles at any time without prior notice.
  • Third-Party Sources & Links: Our blog and news content may reference or link to third-party sources, external research, or partner websites. We do not endorse or assume responsibility for any third-party materials, products, services, or statements.

5. Third-Party Partners, API Providers & Advertisers

You acknowledge that your use of vidAIx is also subject to the compliance requirements and operational limitations of these Partners.
  • Indemnification for Partner Reliance: You shall not hold our technology partners, API vendors, data hosting providers, or news syndication platforms liable for any platform disruptions, output errors, or service modifications.

6. Intellectual Property Rights

  • Company Ownership: The vidAIx name, logo, website design, branding, software code, UI/UX design, custom algorithms, and published editorial content (excluding user-generated outputs) are the exclusive property of ZAMZILLA LLC and its licensors.
  • DMCA / Copyright Infringement: If you believe that any content hosted on vidAIx or published in our blog/news feed infringes upon your copyright, please submit a notice to our legal department at the address listed above with:
    1. A description of the copyrighted work claimed to be infringed.
    2. The specific URL or location of the infringing material.
    3. Your contact information (address, phone, email).
    4. A statement of good faith belief and a statement under penalty of perjury that you are the copyright owner or authorized representative.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, AI OUTPUTS, BLOGS, AND NEWS ARTICLES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, VIRUS-FREE, OR ERROR-FREE, OR THAT GENERATED OUTPUTS WILL NOT INFRINGE UPON THIRD-PARTY RIGHTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZAMZILLA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH:

  1. YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE OR NEWS ARTICLES.
  2. ANY CONTENT OR BEHAVIOR OF ANY THIRD PARTY ON THE SERVICE.
  3. ANY OUTPUT GENERATED BY AI MODELS ON THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PRIOR SIX (6) MONTHS.

9. Indemnification

You agree to defend, indemnify, and hold harmless ZAMZILLA LLC dba vidAIx, its parent company, subsidiaries, affiliates, officers, directors, employees, and third-party partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms.
  • Your use or misuse of the platform, AI outputs, or news content.
  • Inputs you submit that infringe upon any copyright, trademark, privacy, or proprietary right of a third party.

10. Governing Law & Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
  • Jurisdiction: You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Clark County, Nevada for the resolution of any legal action or dispute arising under these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When updates are made, we will revise the “Last Updated” date at the top of this document. Continued use of the website or services after any modifications indicates your acceptance of the updated Terms.

12. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and ZAMZILLA LLC dba vidAIx regarding the service.
